1.1 Services. The Company has engaged a consultant to provide services related to the [summary of the Corporation`s project or activities]. The Consultant will provide [Summary of Services to be Provided] and the other services described in Appendix A (collectively, the « Consulting Services »). This service contract template refers to a project that began with a request for quote in which the Great Scott Arts Association, a new organization in Mosquito Falls, Minnesota, sought out one or more consultants to assist with the initial setup and analysis of possible administrative and executive spaces. 1. Terrific Consulting (hereinafter referred to as the Contractor) undertakes to provide the Iceberg County Art Center (hereinafter referred to as the Customer) with the following products and services: A. Collection of Information: The Contractor must verify the following information compiled by the Customer: 1. Information on participation in past events 2). Examples of past promotional articles and current press reports 3). Examples of leaflets from previous members 4). Financial information for the last three or four years The entrepreneur also inquires about the availability of recent market studies on the iceberg area conducted by the city government or other groups working on the economic development of the iceberg. The contractor will also consult by telephone with the part-time coordinator and two or three members of the client`s board of directors to obtain their views on the client`s problems.
B. Member Survey: The contractor designs a one-sided member survey. The customer is responsible for duplicating the survey, sending it to members and counting responses. C. The contractor designs an « Interview with a Community Leader » format. Members of the client`s board of directors will communicate with community leaders and conduct interviews. The entrepreneur summarizes the result and summarizes it with the survey responses and gives the client a written report on how they are perceived by members and the community and what people think they should do. D. The contractor travels to Iceberg for a one-day stay to meet with the client`s board of directors for half a day to discuss: 1) the results of the survey, the client`s audience or « audience », the client`s « position » in the community, the « messages » the client wishes to communicate to people, past promotional activities and possible changes in the future. 2). the management training needs of the client`s employees, boards of directors and committee chairs. The contractor will present a format that can be used when writing job descriptions and teach the client how to use it.
The group will also develop an organizational chart for the client identifying the various committees, board members, committee chairs and others with special management responsibilities. 3). Client fundraising needs and opportunities. The entrepreneur will consider how much the client wants to raise and what they are willing to do to increase it, including the client`s membership program, grant opportunities, and the possibility of a more individual fundraiser. E. Before departure, the contractor will give the client some « homework ». They would likely involve the preparation of some job descriptions and a clear annual fundraising goal. F. The Contractor shall write: 1) a regular promotion plan based on the objectives set out at the above meeting 2) a review of the client`s job descriptions with the proposed revisions 3) recommended management training opportunities 4) If possible, an annual schedule of management tasks 5) recommendations to increase additional contributions This work will be completed no later than December 31.
1999, and is headed by the Contractors` Agent, Edmund E. Expert. It is understood that the circumstances that arise during the consultation project may make it necessary to replace the activities described above with other equivalent activities. Such amendments shall be based on the mutual agreement of both parties, which may be registered as an addendum to this Agreement or as a letter from one Party to another. 2. The client undertakes: A. to participate in the consulting activities as he wishes. This includes convening meetings, providing meeting venues and amenities, and providing information requested by the Contractor. The client`s entire board of directors is involved in this process, not just the coordinator. The client is also asked to duplicate, distribute and count the results of a member survey, conduct interviews with communications managers and do their homework.
B.dem contractor to pay fees that do not exceed $1,405,000 plus expenses. Costs to be charged include travel ($0.25 per mile for road travel), accommodation and meals at Iceberg, long distance calls, and all copying and shipping services outside of normal communication with the customer. Accommodation and food costs are documented with receipts. Payments will be made in three instalments: $400,000 upon signing of this Agreement; $400,000 at the end of the Iceberg meeting described above; and $605,000 at the end of this project. The project is considered completed when the written report described above is submitted. C. Authorize Amy Administrator to approve the Contractor`s Work and all costs incurred by the Contractor on behalf of the Client. 3. Either party may terminate this Agreement in writing with thirty days` notice.
If the contract is terminated, the contractor will provide the customer with a bank statement showing all fees paid up to that point and the work performed. If the work performed exceeds the fees previously paid, the client will pay the contractor $40,000 per hour for that work.
