Driver or Seller] on [Platform Name] are provided by Stripe and are subject to the Stripe Connected Account Agreement, which contains stripe`s Terms of Service (collectively, the « Stripe Service Agreement »). By accepting [this Agreement/these Terms/etc.] or continuing to act as [Account Holder Term] on [Platform Name], you agree to be bound by the Stripe Service Agreement as may be amended by Stripe from time to time. Provided that [Platform Name] authorizes payment processing services through Stripe, you agree to provide [Platform Name] with accurate and complete information about you and your business, and you authorize [Platform Name] to share such information and transaction information in connection with your use of the payment processing services provided by Stripe. c. Compliance: You will at all times comply with all applicable laws and regulations, payment network rules (including network rules), agreements with third parties that are binding on you, and this Connect Platform Agreement. A full service agreement creates a service relationship between Stripe and the connected account holder. Accounts connected under the full service agreement can process card payments and request the card_payments. You are also responsible for paying all taxes, duties, duties, fees and other charges levied by a government agency (« Taxes »), including VAT, Goods and Services Tax, Provincial Sales Tax and/or Harmonized Sales Tax and/or withholding tax on services provided under this Agreement. If you are exempt from tax, provide us with a certificate or other proof of tax exemption that satisfies us.

In the event that you use the Services to make payments or withdrawals to third parties (including other Stripe users or third parties who are not Stripe users), you agree to be responsible for determining which taxes, if any, apply to such payments or withdrawals, and for assessing, collecting, reporting and transferring applicable taxes, as required by law in all relevant jurisdictions. You agree that Stripe is not responsible for assessing, collecting, reporting or paying taxes on the Services provided under this Agreement and/or on payments or withdrawals you make to third parties through the Services. At a minimum, you must provide your users with a link to the correct agreement and they must explicitly agree before using Stripe, e.B. when activating their account. Stripe requires all custom accounts to accept their service contracts. The service contract that your users must accept depends on the type of service contract under which their accounts are under. The type of service contract can be changed until the agreement is accepted. To select a recipient service contract when creating an account, enter the type with tos_acceptance[service_agreement]: The prices of your use of the Services with a Connect Platform depend on your agreement with the Connect Platform. Stripe has no control over and is not responsible for any Platform connection fees that should be disclosed to you in your Platform Agreement. Stripe`s standard fees for the Services will be posted on our website, although Stripe may have agreed to fees with a Connect platform that differ from these amounts.

Stripe`s fees will be communicated to you separately or consolidated with the fees for the Platform Services. Stripe has the right to deduct from your Stripe account balance Stripe`s fees for the Services and the Fees for the Platform Services specified by the Connect Platform. If your Stripe balance turns negative, you authorize Stripe to withdraw the amount due from your payment account. If you believe that the fees have been deducted incorrectly or that your Connect Platform has not properly disclosed your fees to you, please contact us. Stripe processes, analyzes and manages data to: (a) provide services to you and other Stripe users and customers; (b) mitigate fraud, financial loss or other harm to users, customers and Stripe; and (c) analyze, develop and improve our products, systems and tools. Stripe shares information with third parties, including payment method providers, payment method acquirers and their respective affiliates, as well as Stripe affiliates, so that we can provide services to you and other users. We do not share personal information with unaffiliated parties to market their products to you. You understand and consent to Stripe`s use of the Data for the purposes and in a manner consistent with this Section D. It is your responsibility to ensure that your users accept the correct service agreement before accepting or receiving payments through Stripe on your platform. In certain circumstances, we may require a personal, comprehensive or other warranty (a « Warranty ») from a User`s principal, owner or other guarantor.

A guarantee consists of a legally binding commitment by a natural or legal person to pay all sums due by the user in the event that the user is unable to pay. If we ask you to provide us with a guarantee, we will expressly inform you of the amount and reasons for the guarantee. If you are unable to provide such a warranty if necessary, you are not permitted to use the Services. To make a request to exercise any of the rights described above, you can contact stripe at privacy@stripe.com. We may need to verify your identity before responding to your request, for .B. to verify that the email address from which you are sending the request matches your email address that we have stored. Authentication based on a valid government-issued identification document may be required. If you are a customer of a Stripe user, please forward your requests directly to the Stripe user with whom you shared your personal information. As a subcontractor of payment transactions and a provider of related services, we may collect, use and disclose personal information about customers when we act as a service provider to a Stripe user. Stripe users are responsible for ensuring that customers` privacy rights are respected, including ensuring appropriate disclosures about the collection and use of data by third parties. Insofar as we act as a data processor of a Stripe user, we process personal data in accordance with the terms of our agreement with the Stripe user and the stripe user`s legal instructions. If you are a customer and would like to receive more information about how a Stripe user uses third-party services such as Stripe to process your personal information in connection with payment transactions, please contact the Stripe user directly or review the Stripe user`s privacy policy.

Stripe receives personal information about you from a variety of sources in order to provide our services and administer our websites. « You » may be a visitor to one of our websites, a user of one or more of our services (« User » or « Stripe User »), or a customer of a User (« Customer »). If you are a customer, Stripe will generally not collect your personal information directly from you. Your agreement with the respective Stripe user should explain how the Stripe user shares your personal information with Stripe, and if you have any questions about such sharing, you should direct those questions to the Stripe user. Stripe`s failure to exercise or enforce any right or provision of the Terms of Use shall not be deemed a waiver of such right or provision. If any provision of these Terms of Use is held by a court of competent jurisdiction to be unenforceable or invalid, that provision shall be limited to the minimum necessary for these Terms of Use to remain in full force and effect between the parties. Titles are provided for reference purposes only and do not define, limit, interpret or otherwise describe the scope or scope of any such section. These Terms of Use, including the Stripe Stripe Payment Policies referred to herein, constitute the entire agreement between you and Stripe with respect to your use of Stripe Checkout.

These Terms of Use are not intended for and should not be construed as giving rise to any rights or remedies with parties other than you and Stripe, and no other person will have the opportunity to assert any rights as a third party beneficiary under these Terms of Use. These Terms of Use do not limit the rights to which Stripe is entitled under trade secrets, copyrights, patents or other laws. c. Other Services: From time to time, we may offer you additional features or services that may be subject to additional or different terms of use. Examples of additional services include Stripe Radar and Stripe Sigma. All such additional features and services are part of the Services, and you may not use such additional services unless you agree to the applicable agreement or terms (if any) for such services. .
